2. Scope of Services
We provide digital marketing services, which may include SEO (Search Engine Optimization), Social Media Marketing (SMM), content marketing, website design and development, branding, and paid advertising services. The specifics of each service will be outlined in individual contracts or project proposals. All services are customized to meet the client’s needs and may vary based on the agreed-upon deliverables. Service availability may vary based on geographical location, budget, and other factors. We reserve the right to decline any service request.
3. Client Responsibilities
Clients are expected to provide accurate, complete, and timely information required for service delivery. Failure to do so may result in delays or additional charges. The client is responsible for all content, images, and data provided for the project. Clients must review and approve work within the set timelines. Any failure to communicate or provide necessary information on time may result in project delays.
4. Payment Terms
Our payment structure is based on the specific project. Payment terms, including deadlines and methods, will be outlined in the individual service agreement. For ongoing services (e.g., SMM or SEO), payments are usually billed monthly, while one-time services (e.g., logo design) may require upfront payment. In case of late payments, we reserve the right to halt work until the account is settled, and a late fee may be applied. Non-payment for services may lead to legal action or reporting to credit agencies.
5. Revisions and Approvals
Clients will be provided with opportunities to review and request revisions at each stage of the project. Once the client provides written approval, the work is considered final, and any additional revisions may incur extra charges. NovaGrowth Agency is not liable for any errors or omissions once final approval has been given.
6. Intellectual Property Rights
Upon full payment, ownership of all logos, designs, and content created by NovaGrowth Agency is transferred to the client, except for any pre-existing materials used in the project (e.g., stock images, fonts). NovaGrowth Agency retains the right to display completed work in our portfolio unless otherwise agreed upon in writing. Copyright for third-party materials (e.g., software, templates) used during the project remains with the respective owners.
7. Cancellation and Termination
Either party may terminate the agreement at any time, with 14 days’ written notice. Upon termination, the client will be responsible for payment of all work completed up to the point of cancellation. NovaGrowth Agency reserves the right to terminate services immediately for any violation of these terms, unethical behavior, or non-payment.
8. Confidentiality
Both parties agree to keep confidential all proprietary or sensitive information exchanged during the course of the project. NovaGrowth Agency will not share any confidential information related to the client’s business, and clients agree not to disclose NovaGrowth’s pricing, strategies, or other sensitive details to third parties.
9. Limitation of Liability
NovaGrowth Agency strives for high-quality services, but we cannot guarantee specific results (e.g., page rankings, follower growth). We are not responsible for any indirect, incidental, or consequential damages related to service usage, third-party platforms, or unforeseen technical issues (e.g., hosting outages, social media bans). Our total liability is limited to the amount paid by the client for services within the last six months.
10. Use of Third-Party Tools
Our services may require the use of third-party platforms (e.g., Google Analytics, Facebook Ads). NovaGrowth Agency is not responsible for any changes or disruptions caused by these third-party providers. Clients are expected to comply with the terms and conditions of any third-party platforms used in the course of their campaigns.
11. Data Protection and Privacy
We are committed to protecting your privacy. Any personal or business information shared with us will be used solely for the purpose of delivering services and will not be shared with any third party without your consent, except as required by law. 12. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of Romania. In the event of a dispute, both parties agree to attempt resolution through mediation or negotiation before pursuing legal action. If a resolution cannot be reached, any legal proceedings will be conducted in the Romanian courts.
13. Force Majeure
NovaGrowth Agency will not be held responsible for delays or inability to fulfill contractual obligations due to circumstances beyond our control, such as natural disasters, strikes, technical failures, or government restrictions.
